BX/CIK LICENSE AGREEMENT READ THIS SOFTWARE LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE SOFTWARE. THIS AGREEMENT REPRESENTS THE ENTIRE AGREEMENT CONCERNING THIS SOFTWARE BETWEEN YOU ("LICENSEE") AND INTEGRATED COMPUTER SOLUTIONS, INC. ("ICS"), AND IT SUPERCEDES ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES WITH RESPECT TO ITS SUBJECT MATTER. BY USING THIS SOFTWARE, YOU ARE ACCEPTING AND AGREEING TO THE TERMS OF THIS AGREEMENT. IF YOU ARE NOT WILLING TO BE BOUND BY THE TERMS OF THIS AGREEMENT, YOU SHOULD DELETE THE SOFTWARE FROM YOUR COMPUTERS. The parties therefore agree as follows: 1. License: ICS grants to Licensee a nonexclusive, nontransferable license to use BX/CIK for Linux (the "Software") solely for the purpose of enabling the integration of ICS’ Builder Xcessory PRO for Linux software with the Code Fusion ™ software from Red Hat. You must have a valid licenses to both Builder Xcessory PRO for Linux and Code Fusion to use this Software. If you do not have licenses to either of these products, you may not use this Software. 2. Licensee may install the Software on any computer system that has a valid license to both Builder Xcessory PRO for Linux and Code Fusion. Licensee shall not otherwise use, copy or modify the Software, or use or create any adaptation or transcription of the Software, or merge any the Software with any other program without the specific written permission of ICS. 3. ICS MAKES NO WARRANTIES OF MERCHANTABILITY AND FITNESS, IN NO EVENT WILL ICS BE LIABLE TO LICENSEE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF ICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. 4.Proprietary Rights: Integrated Computer Solutions retains all rights, title and interest in and to the Software and the copies furnished to Licensee, subject only to those rights expressly granted in this Agreement. This Agreement does not transfer ownership of the Software or of any copy, but only a right of limited use. The Software is a commercially valuable, proprietary product of ICS, the design and development of which reflect the expenditure of great effort and expense. The source code and the design of the Software are trade secrets of ICS, and Licensee shall not attempt to examine, decompile or disassemble or otherwise obtain or replicate the source code or internal structure of the Software. ICS claims and reserves all rights and benefits afforded under federal copyright law in and to the Software. 5. Term and Termination: The term of this Agreement shall be indefinite; however, this Agreement may be terminated by ICS in the event of a default under this Agreement by Licensee. Licensee may terminate this Agreement at any time by destruction all copies of the Software, the Documentation. Upon termination, Licensee shall immediately cease use of the Software and Documentation. All provisions hereof regarding liability and limits thereon shall survive the termination of this Agreement 6. U.S. Government Restricted Rights Legend: (a) For units of the DoD: Restricted Rights Legend Use, duplication or disclosure by the Government is subject to restrictions as set forth in subparagraph (c) (1) (ii) of the Rights in Technical Data and Computer Software clause at DFAR 252.227-7013. (b) For civilian agencies: Restricted Rights Legend Use, reproduction or disclosure is subject to the restrictions set forth in subparagraphs (a) through (d) of the Commercial Computer Software-Restricted Rights clause at CFR 52.227-19 and the limitations set forth in ICS’ standard commercial agreement for this Software and Documentation, as applicable. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts as a contract made and performed therein.
